To be part of our network, businesses must permanently approve a five percent (5%) discount on all current products and those incorporated in the future.

The timeliness and quality, as well as any other aspect of the services offered and provided, are the sole and exclusive responsibility of the “Provider / discount-offering store.” Therefore, UNIVERSAL REBATE NETWORK® is exempt from any liability arising therefrom.

The “Provider / discount-offering store” manages and defines the level of attributes in the use of the page for the “Client.” The “Provider / discount-offering store” will be responsible for the correct use of its page by its “Staff.” The software contained on the UNIVERSAL REBATE NETWORK® proprietary page grants a license for its use, upon advance payment, as described in these Terms and Conditions.

Not all services must necessarily be used by every client/provider or for every user.

 

Scope of Terms of Use

 

UNIVERSAL REBATE NETWORK® retains your personal information, if you are a client, for purposes associated with the proper provision of the services offered and/or to be provided; and for tracking in the case of suppliers. By using UNIVERSAL REBATE NETWORK® or otherwise disregarding these Terms of Use and other related rules (e.g., by linking to a page within this Site), you enter into an agreement with us to be bound by the current version of UNIVERSAL REBATE NETWORK®, including these Terms of Use. You will also be governed by all applicable laws. If you are a client, you declare and affirm that:

  • You are authorized to accept these Terms of Use and other related rules, on your own behalf and on behalf of your employer;

    • Whether or not you can connect to the website to review any data related to your clients;

    • Any decision, scheduling change, or any other decision within the scope of the service provision contracted with the provider, whether or not based on data obtained from UNIVERSAL REBATE NETWORK®; and

    • Compliance with all local legislation/regulations.

 

User Obligations

 

The user of UNIVERSAL REBATE NETWORK®, whether provider or client, undertakes to use the application and its contents diligently, correctly, lawfully, and especially, agrees NOT to engage in the following behaviors:

Usage Technique

Affiliation to the network will have an initial duration of twenty-four months for both companies and clients. Companies that affiliate with the network will have an affiliate credential, which they can reproduce in an appropriate size and visibly for the public in their facilities, while maintaining the image with the original proportions and colors of our corporate logo.

The affiliation cost for companies to the network is ONE THOUSAND UNITED STATES DOLLARS (US $1,000.00) per point of sale for the first two (2) years, and for individuals it is TWENTY-FIVE UNITED STATES DOLLARS (US $25.00) during the same period.

 

Payment System

 

From the website: https://universalrebatenetwork.com/, the service payment, its amount, and the date from which the service will be available will be indicated. The service payment will be made in advance, which can be canceled or renewed for the user or provider with the corresponding costs. After this period, the service must be renewed, and conditions and prices may change until then. The “Provider / discount-offering store” authorizes UNIVERSAL REBATE NETWORK® to readjust the value of the service provision according to variations that may eventually affect the service provision. Payment can be made by credit or debit card, or through electronic transfers to the UNIVERSAL REBATE NETWORK® account, which will be informed in each case.

In case of cancellation of a payment by credit card or a payment through a payment service, return charges will be generated, which will be borne by the corresponding holder. The user must indicate the necessary and reliable data for correct billing and corresponding tax treatment, releasing UNIVERSAL REBATE NETWORK® from responsibilities for inaccuracies in the information provided. The “Provider / discount-offering store” must provide a reliable contact for corresponding billing procedures.

UNIVERSAL REBATE NETWORK® is authorized to make any changes to plans or rates.

  • Lack of a billing contact;

  • The service offered by the provider not being reliable;

In any case, UNIVERSAL REBATE NETWORK® will inform the user of the contract termination, indicating the corresponding cause via email sent to the provided address. All of the above is without prejudice to any applicable legal actions, in order to enforce relevant responsibilities or charges.

Likewise, the user accepts that the provided data be used to receive invoices for the service rendered, agreeing to receive billing in their name for the duration of the service. The invoiced value will correspond to the value of the contracted period.

 

Data Accuracy

 

By accepting these Terms and Conditions, the “Client” declares that all provided data is truthful.

It is expressly acknowledged that all stored data, entered by any of the system users, is the property of the user and therefore cannot be used by UNIVERSAL REBATE NETWORK® for any purpose not directly related to the contracted services, with the exception of statistical and platform usage purposes.

Specifically, UNIVERSAL REBATE NETWORK® may not disclose entered data to third parties, but UNIVERSAL REBATE NETWORK® will be allowed to use user data for statistical and aggregated purposes, for which UNIVERSAL REBATE NETWORK® will take care to anonymize the obtained data so that it does not represent any risk to users.

UNIVERSAL REBATE NETWORK® shall not, at any time, reveal or communicate to any person any trade secret or confidential information related to the “Provider / discount-offering store’s” own business, or any information related to the business, especially “Client” information, that may become known to it during the provision of the Service. UNIVERSAL REBATE NETWORK® must use its best efforts to prevent the publication or disclosure of such information, on the understanding that this restriction will cease with respect to any confidential information that becomes public domain, unless this occurs due to a breach by UNIVERSAL REBATE NETWORK®.

UNIVERSAL REBATE NETWORK® guarantees that the persons it employs for the fulfillment of this contract will comply with the same obligations referred to above, assuming responsibility for their actions as if they were its own. UNIVERSAL REBATE NETWORK® will be obliged to demand from its personnel or from those persons it uses sporadically or permanently to comply with the services agreed in this contract, the same confidentiality conditions as those indicated in this clause.

 

Responsibilities

 

  • UNIVERSAL REBATE NETWORK® is not responsible for the service or good offered by the “Provider / discount-offering store” nor for its quality. The service or good and its quality depend solely on the “Provider / discount-offering store” and its staff, without UNIVERSAL REBATE NETWORK® intervening directly or indirectly in its provision.

  • UNIVERSAL REBATE NETWORK® is not responsible for delays or the quality of the good of the “Provider / discount-offering store” in the provision of its services or goods. Punctuality in service provision depends solely on the “Provider / discount-offering store” and its staff, without UNIVERSAL REBATE NETWORK® intervening directly or indirectly in its provision.

  • The “Provider / discount-offering store” is obliged to respond to claims made by its “Clients” against the quality of the goods or services to be acquired, and must assume their defense and, in any case, all amounts that UNIVERSAL REBATE NETWORK® may have to pay to “Clients” due to the “Provider / discount-offering store’s” breaches.

  • UNIVERSAL REBATE NETWORK® will not be responsible in case of incorrect use of the computer, mobile device, or similar, nor in case of error or excessive delay in the transmission of reservation data by the Internet server. The “Provider / discount-offering store” will be responsible for having the technical, material, and personnel feasibility to provide the offered services.

  • The “Provider / discount-offering store” and its “Staff” or “Personnel” will be solely responsible for the correct use of the Software, the page, the application, and the virtual account created therein.

  • UNIVERSAL REBATE NETWORK® is not responsible for information provided by the “Provider / discount-offering store” or its “Staff.”

  • The “Provider / discount-offering store” is solely responsible for claims due to its mismanagement or non-fulfillment of services or hours or delays in them.

 

Indemnification for Damages / Reimbursement of Expenses

 

Any claim for compensation by the “Provider / discount-offering store” or “Client” against UNIVERSAL REBATE NETWORK®, its legal representatives, employees, or auxiliary executors is excluded.

This provision shall not apply to damages attributable to the willful misconduct or gross negligence of UNIVERSAL REBATE NETWORK®, its legal representatives, or auxiliary executors.

Neither UNIVERSAL REBATE NETWORK® nor its owners, nor our content providers will be liable for any damage or injury arising from your access or lack of access to this service or your reliance on the information contained therein. UNIVERSAL REBATE NETWORK® and its owners disclaim any and all liability for any direct, indirect, incidental, consequential, punitive, and special damages, loss of opportunity, loss of revenue, or any other loss or damages of any kind. This limitation includes damages or viruses that may affect your technology equipment.

You agree to indemnify, defend, and hold harmless UNIVERSAL REBATE NETWORK® and its owners, officers, employees, agents, and representatives from and against all third-party claims, demands, lawsuits, damages, liabilities, losses, costs, or expenses (including, but not limited to, reasonable attorneys’ fees and disbursements and court costs), judgments, settlements, and fines of all kinds arising from:

  • Your use of the services or content or any data provided in connection therewith in violation of these Terms of Use and other related rules by you or by any of your partners, employees, agents, or contractors;

  • Any claim that UNIVERSAL REBATE NETWORK® has been modified or altered by you or your partners, employees, agents, or contractors, or the use of any data you have provided that infringes a patent, copyright, or any other intellectual property right, or a right unduly affected by third-party trade secrets;

  • Any inaccurate or incomplete data or any virus, worm, spyware, backdoors, Trojan horse, or any other malicious code transmitted by you;

  • Any violation of the Terms of Use by you, including other related rules;

  • Any violation of applicable rules or regulations by you.

UNIVERSAL REBATE NETWORK® may block, interrupt, or restrict access to it when deemed necessary for the improvement of the application or due to its discontinuation.

The User is advised to take appropriate measures and act diligently when accessing the application, such as having protection programs, antivirus, for malware, spyware, and similar tools.

UNIVERSAL REBATE NETWORK® nor its owners will be responsible for: a) Force majeure or fortuitous event: Neither party shall be liable to the other for the operation of the website and/or “App” or the Services or for what prevents their operation for any cause beyond the control of the parties, including, without limitation, natural disasters, wars, riots, strikes, or failures in publicly available communication channels; b) For the loss, misplacement, or theft of your mobile device implying third-party access to the mobile application; c) For unsafe user practices that expose their personal information; d) For typing errors or accesses by the client; e) For computer events that exceed the reasonably adequate protection actions adopted by UNIVERSAL REBATE NETWORK®; f) For damages, lost profits, direct damages, moral damages, and in general sums payable by UNIVERSAL REBATE NETWORK®, for delays, non-processing of information, or suspension of the mobile operator’s service or damages to mobile devices.

 

Exclusion

 

By definition, any problem the “Client” has with the services offered will be dealt with directly with the “Provider / discount-offering store.” Due to the nature of the service offered by UNIVERSAL REBATE NETWORK® to the “Client,” which is limited solely to making available the discount information of which they are a beneficiary, UNIVERSAL REBATE NETWORK® assumes no responsibility to the “Client” beyond making available the benefits and discounts to which they are entitled by their corresponding membership.

 

Disclaimer of Warranties and Liability
